合作說明

為貫徹落實(shí)“開放、共生”的合作理念，進(jìn)一步加強(qiáng)與全球各大船舶經(jīng)紀(jì)公司（或經(jīng)紀(jì)人，以下統(tǒng)稱“經(jīng)紀(jì)人”）之間的合作，實(shí)現(xiàn)互惠共贏，針對(duì)在旗下拍船網(wǎng)（www.shipbid.net）進(jìn)行線上公開競拍的“幸運(yùn)洋”輪項(xiàng)目，浙江船舶交易市場有限公司（以下簡稱“本公司”）特作如下之說明：

一、各船舶“經(jīng)紀(jì)人”可充分利用自身在境外的客戶資源，發(fā)揮業(yè)務(wù)優(yōu)勢，積極尋找并推薦境外意向客戶報(bào)名參拍（即競買人）。“經(jīng)紀(jì)人”需通過郵件向我司提交由競買人簽署的《經(jīng)紀(jì)人指定函》，并與本公司確定針對(duì)該客戶（僅限境外）的項(xiàng)目合作關(guān)系，指定函的模板由本公司提供，最晚應(yīng)在競買人完成報(bào)名之前提供。若同一位競買人委托多個(gè)“經(jīng)紀(jì)人”提交指定函，則將按照“最早提交者有效”的原則執(zhí)行。

二、若競買人需委托“經(jīng)紀(jì)人”辦理各項(xiàng)報(bào)名參拍、文件簽訂手續(xù)，則需提交由競買人簽署確認(rèn)的《授權(quán)委托書》。

三、同一個(gè)“經(jīng)紀(jì)人”可同時(shí)受理多家競買人的委托和指定，本公司不作限制。受競買人指定的“經(jīng)紀(jì)人”，須具有船舶經(jīng)紀(jì)服務(wù)、海事或技術(shù)咨詢服務(wù)等與航運(yùn)服務(wù)相關(guān)類別的經(jīng)營范圍。

四、競買人與“經(jīng)紀(jì)人”之間不得有任何直接或間接的關(guān)聯(lián)關(guān)系或股權(quán)關(guān)系，否則指定函將視作無效。

五、競買人在競拍成功（即在競價(jià)中以最高價(jià)勝出）成為買受人并簽訂《競拍成交確認(rèn)書》后，其指定的“經(jīng)紀(jì)人”需通過郵件向我司提交經(jīng)紀(jì)公司的注冊登記證書、股權(quán)結(jié)構(gòu)文件、經(jīng)紀(jì)人的身份證件及我司所要求的其他文件（如有），并與本公司簽訂《項(xiàng)目合作協(xié)議》。在該競拍項(xiàng)目成功完結(jié)后，買受人支付的競拍服務(wù)費(fèi)在扣除我司組織競拍的成本及稅費(fèi)后，剩余部分與指定“經(jīng)紀(jì)人”平分。

六、未盡事宜由本公司另行解釋。

Statement of Cooperation

To implement the cooperation concept of"openness and symbiosis"and further strengthen collaboration with global ship brokerage houses or brokers(hereinafter referred to as“brokers"or“broker”),Zhejiang Shipping Exchange(hereinafter referred to as"the Company")provides the following explanation for the public online bidding project of"XING YUN YANG"on www.shipbid.net in pursuit of mutual benefit and win-win results.

1.“Brokers"are encouraged to fully leverage their global customer resources and business advantages,proactively seeking out and recommending potential overseas customers to take part in ship bidding business and register as bidder.The“broker"shall submit a"Confirmation Letter of Appointment"signed by the bidder(applicable to overseas customers only)to the Company via email and establish a project cooperation relationship with the Company for this business.The template of the confirmation letter shall be provided by the Company and shall be submitted no later than the completion of bidder registration.If the same bidder entrusts more than one brokers to submit a designation letter,the principle of"first come,first served"shall apply.

2.If a bidder requires the assistance of a broker to handle bidding registration,other bidding formalities and even document signing on their behalf,the broker shall provide a Power of Attorney that has been duly signed and confirmed by the bidder.

3.The same“broker”could accept appointment from multiple bidders simultaneously,without any restrictions imposed by the Company.The appointed broker shall possess a business license or article of association that describes the broker’s involvement in shipping services such as ship brokerage,maritime or marine technical consulting.

4.There shall be no direct or indirect association or equity relationship between the bidder and the appointed“broker”,otherwise the letter of appointment shall be deemed null and void.

5.Upon winning the auction at the highest price and signing the"Auction Confirmation Letter",the bidder will become the Buyer.The appointed broker is required to submit via email their brokerage company's registration certificate,equity structure documents displaying shareholding structure,identity documents of the broker,and any other necessary documents as requested by the Company.Additionally,a"Cooperation and Commission Agreement"shall be signed between the Company and the“broker."Upon successful completion of the bidding project,the bidding service fee paid by the Buyer(after deducting the costs and taxes of the Company for organizing the bidding)shall be shared equally with the"broker".

6.The Company shall furnish distinct explications for unmentioned matters.
